YOU ARE HEREBY NOTIFIED that there will be heard before the presiding Judge of the Superior Court of Jackson County, Georgia, on the 16th day of September, 2008 at 8:45 o’clock A.M., at the Jackson County Courthouse in the City of Jefferson, Georgia, the case of the State of Georgia vs. Development Authority of Jefferson, Georgia and Kubota Tractor Corporation, Civil Action File Number OBCV-1222, in the Superior Court for that County, the same being a proceeding to confirm and validate an issue of $16,500,000 in maximum aggregate principal amount Development Authority of Jefferson, Georgia Taxable Industrial Revenue Bonds (Kubota Tractor Corporation Project) Series 2008 (the “Bonds”) and the security therefor. The proceeds of the Bonds are to be used to finance the acquisition, construction and equipping of an assembly, warehousing and distribution facility in Jefferson, Georgia, including all related facilities, land, improvements, equipment and machinery (the “Project”), for use by Kubota Tractor Corporation, a California corporation (the “Lessee”) and paying certain expenses relating thereto. Upon its completion, the Project will be leased to the Lessee by the Development Authority of Jefferson, Georgia, under a Lease Agreement to be dated as of September 1, 2008 (the “Lease”). The Court in such proceeding will also pass upon the validity and legality of such Lease and a Trust Indenture under which the Bonds will be issued, a Bond Purchase Agreement, a Deed to Secure Debt, Security Agreement and Assignment of Leases and Rents and a Guaranty Agreement and certain other related issues.
